1. Introduction and Acceptance
These Terms of Service (“Terms”) govern your access to and use of The Block, including on-the-block.com and the features, tools, communications, card records, and services made available through the Platform.
“The Block,” “Platform,” “we,” “us,” and “our” refer to the current operator of The Block and, where applicable, its future affiliates, successors, and permitted assigns.
By creating an account or otherwise affirmatively accepting these Terms, you agree to be bound by these Terms, our Privacy Policy, and our Transaction & Trading Rules, each as applicable.
If you do not agree, do not create an account or use transaction-capable features of The Block.
2. Beta and Early Access Status
The Block is currently being operated as a beta and early-access service.
You understand that beta software and services may contain errors, bugs, incomplete features, interruptions, outages, or other problems.
Features may be added, removed, redesigned, suspended, or changed as the Platform develops.
The Block may correct, restore, modify, or remove Platform data when reasonably necessary to address technical problems, security incidents, erroneous records, abuse, or Platform operation.
You should maintain your own records of information that is important to you.
3. Current Operator and Future Business Entity
The Block is currently operating during a pre-incorporation and early-stage period.
The operator intends to establish an appropriate legal business entity.
To the extent permitted by applicable law, these Terms and associated Platform rights, agreements, accounts, licenses, records, and obligations may be assigned or transferred to a subsequently formed entity, affiliate, purchaser, successor, or other successor-in-interest.
Where applicable law or a material change requires additional notice or renewed consent, The Block will provide such notice or obtain such consent.
4. Eligibility and Accounts
You must be at least 18 years old and legally capable of entering into a binding agreement to create a transaction-capable account or participate in transactions through The Block.
You agree to provide accurate account information and keep applicable information reasonably current.
You are responsible for safeguarding your login credentials and for activity occurring through your account.
You may not impersonate another person, create an account using information you are not authorized to use, or use another person's account without authorization.
5. What The Block Is
The Block provides technology and community features for sports-card and trading-card collectors.
Features may include:
- card cataloging and The Shelf;
- AI-assisted card intake;
- public profiles;
- card discovery;
- The Shop;
- The Show;
- The Chase;
- The Haggle & Handshake (“The H&H”);
- peer-to-peer transaction tools;
- card-history information;
- Vouches and reputation features;
- messaging;
- shipping/tracking tools;
- paid memberships or premium features where offered;
- and other collector tools.
The Block provides the technology that helps users find one another, communicate, maintain card records, and facilitate transactions.
6. What The Block Is Not
Unless a specific future service expressly states otherwise, The Block is not:
- the buyer or seller in transactions between users;
- an authenticator;
- a grading company;
- an appraiser;
- a broker or dealer acting on behalf of users;
- an escrow service;
- an insurer;
- a shipping carrier;
- a fiduciary;
- or a guarantor of another user's performance.
The Block does not guarantee:
- authenticity;
- ownership or legal title;
- provenance;
- condition;
- grading accuracy;
- card value;
- accuracy of user descriptions or photographs;
- identity or trustworthiness of another user;
- payment;
- shipment;
- delivery;
- or successful completion of a transaction.
7. The Shelf and Card Records
The Block uses a one-card/one-record architecture in which a card may be represented by a persistent digital record associated with its current Platform owner.
A digital card record may appear in multiple Platform contexts without creating a separate physical card or separate ownership claim.
A Platform record is an organizational record.
It is not independent proof of physical possession, legal title, authenticity, condition, or provenance.
8. AI-Assisted Card Identification
The Block may use artificial intelligence and automated image-recognition technology to assist users in identifying and cataloging cards.
AI-generated information may be inaccurate, incomplete, or incorrect.
AI output is a suggestion and does not constitute:
- authentication;
- grading;
- appraisal;
- certification;
- investment advice;
- or a warranty concerning the card.
The user submitting the card is responsible for reviewing and correcting card information before relying upon or publishing it.
9. User Listings and Representations
When you list, display, sell, offer, or trade a card, you represent that you have the lawful right and authority to do so.
You are responsible for accurately representing the card and disclosing known material information that could reasonably affect a transaction.
You may not knowingly list stolen, counterfeit, forged, materially misrepresented, or unlawfully possessed items.
10. The Shop, The Show and Discovery Features
The Block may provide discovery features that allow users to find cards, profiles, or transaction opportunities.
A card or user appearing prominently, being featured, receiving views, receiving Vouches, appearing in a ranking, or otherwise receiving Platform visibility does not constitute an endorsement or guarantee by The Block.
11. The H&H, Offers and Handshakes
The Haggle & Handshake (“The H&H”) provides tools for users to negotiate and document transactions.
Offers, messages, and counteroffers may be exchanged before users confirm transaction terms.
A Handshake records the terms the participating users have confirmed through the Platform.
Whether any particular interaction or Handshake constitutes a legally enforceable contract is determined by applicable law and the circumstances of that transaction.
The Block does not guarantee that either participant will perform the agreed terms.
12. Peer-to-Peer Payments
Unless a particular Platform service expressly states otherwise, payment for cards is made directly between users using payment methods selected by those users.
The Block currently does not take custody of the purchase price of cards sold through ordinary H&H transactions.
Users are responsible for evaluating the risks, protections, fees, reversal policies, and dispute procedures associated with any third-party payment service they choose.
The Block may separately charge fees for memberships, Platform services, auctions, or other paid features if and when such services are offered.
13. Trades
Card-for-card and cash-plus-card transactions involve risks.
Each participant is responsible for evaluating:
- the other user;
- the cards involved;
- condition;
- authenticity;
- value;
- shipping method;
- payment method;
- insurance;
- and transaction terms.
The Block does not guarantee equal value or satisfactory performance in a trade.
14. Shipping and Delivery
Users are responsible for packaging and shipping cards involved in their transactions.
The Block may provide shipping guidance, carrier links, tracking tools, or other conveniences.
The Block is not the shipping carrier and does not control shipment handling.
The Block is not responsible for loss, theft, damage, delay, misdelivery, carrier errors, or other shipping failures except to the extent liability cannot lawfully be excluded.
15. Vouches and Reputation
The Block may award or display Vouches based on qualifying completed Platform transactions.
A Vouch represents transaction history on The Block.
A Vouch is not a guarantee, certification, endorsement, background check, authentication, warranty, or representation by The Block that a user is trustworthy or that future transactions with that user will be successful.
Users remain responsible for deciding whether to transact with another user.
16. Memberships, Subscriptions and AI Scan Allowances
The Block may offer free and paid membership levels.
Paid plans may include recurring subscription charges, AI scan allowances, premium functionality, or other benefits.
Plan prices, benefits, limits, billing periods, and applicable charges will be disclosed before purchase.
Where AI scan allowances are offered:
- one qualifying front/back card identification may count as one scan;
- monthly allowances may reset each billing period;
- unused scans may not roll over unless expressly stated;
- manual card entry may remain available independently of AI allowances.
Cancellation of a paid membership does not automatically delete the user's account.
Membership cancellation also does not eliminate obligations arising before cancellation.
17. Auctions and Other Paid Transaction Features
The Block may introduce auctions or other transaction-related paid services.
Any such feature may be governed by additional Auction Rules, fee disclosures, payment terms, or other supplemental terms.
Before a user incurs a Platform auction fee or other transaction fee, the applicable fee will be disclosed.
The Block may require a valid payment method to access certain paid features.
Failure to pay legitimate Platform fees may result in restriction of the applicable paid feature or other enforcement permitted by these Terms.
The existence of this section does not mean that auctions or payment processing are currently available.
18. User Content
You retain ownership of photographs, text, descriptions, profile content, and other material you submit, subject to the rights granted below.
By submitting content, you grant The Block a non-exclusive, worldwide, royalty-free license to host, store, reproduce, resize, format, display, distribute, and otherwise use that content as reasonably necessary to operate, promote, secure, and improve the Platform.
You represent that you have the rights necessary to upload the content you submit.
19. Prohibited Conduct
You may not use The Block to:
- commit fraud or deception;
- knowingly list counterfeit or stolen cards;
- materially misrepresent cards;
- manipulate Vouches;
- create fictitious transactions;
- engage in shill bidding or auction manipulation;
- use multiple accounts to manipulate Platform systems;
- evade fees or enforcement;
- impersonate others;
- submit false tracking information;
- engage in payment fraud;
- harass or threaten users;
- distribute malware;
- interfere with Platform security;
- exploit AI scan limits or other metering systems;
- scrape or automate access without authorization;
- or use The Block for unlawful purposes.
20. Enforcement, Suspension and Termination
The Block may investigate suspected violations and take reasonable Platform-level action.
Depending on the circumstances, action may include:
- warnings;
- content removal;
- transaction restrictions;
- feature restrictions;
- auction restrictions;
- temporary suspension;
- or account termination.
The Block may consider severity, history, available evidence, fraud risk, safety concerns, and other relevant circumstances.
21. Reports and User-to-User Disputes
Users may report suspected misconduct or transaction problems.
The Block may review Platform records, messages, tracking information, reports, and other relevant information for administrative, safety, fraud-prevention, or enforcement purposes.
The Block is not obligated to adjudicate every private dispute and does not act as a court, arbitrator, insurer, authenticator, or law-enforcement agency.
22. Third-Party Services
The Block may provide links to or interact with third-party services such as payment providers, shipping carriers, grading companies, marketplaces, social platforms, pricing sources, and other external services.
Those services are independently operated.
The Block does not control their availability, accuracy, security, policies, or performance.
Use of third-party services may be governed by separate terms and privacy policies.
23. Privacy
Use of The Block is also subject to The Block Privacy Policy.
The Privacy Policy explains how information is collected, used, disclosed, stored, and retained.
24. Intellectual Property of The Block
Except for user content and third-party materials, The Block and its software, branding, design, logos, graphics, databases, interfaces, text, and other proprietary materials are owned by or licensed to the Platform operator and are protected by applicable intellectual-property laws.
Nothing in these Terms grants you ownership of The Block's intellectual property.
25. No Professional Advice or Appraisal
Information provided through The Block is for Platform and informational purposes.
The Block does not provide legal, tax, financial, investment, grading, authentication, or appraisal advice.
Comparable sales, pricing references, AI outputs, popularity indicators, or other data should not be treated as a guarantee of value or future price.
26. Taxes and Legal Compliance
Users are responsible for determining and satisfying taxes, reporting obligations, licensing requirements, and other legal obligations arising from their own activities.
The Block may provide information or records where required by law but does not provide individual tax or legal advice.
27. Disclaimer of Warranties
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, THE BLOCK AND ITS FEATURES ARE PROVIDED “AS IS” AND “AS AVAILABLE.”
THE BLOCK DISCLAIMS WARRANTIES OF ANY KIND, EXPRESS, IMPLIED, OR STATUTORY, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, NON-INFRINGEMENT, ACCURACY, AVAILABILITY, CARD AUTHENTICITY, CONDITION, VALUE, OR TRANSACTION PERFORMANCE.
Some jurisdictions do not allow certain warranty exclusions, so some exclusions may not apply to you.
28. Assumption of Transaction Risk
You acknowledge that transactions involving collectible cards may involve risks including:
- counterfeit items;
- inaccurate descriptions;
- undisclosed damage;
- altered cards;
- payment reversals;
- fraud;
- shipment loss;
- shipment damage;
- disputes over condition;
- disputes over value;
- and nonperformance by another user.
You voluntarily decide whether to participate in a transaction and are responsible for evaluating those risks.
29. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, THE BLOCK, ITS CURRENT OPERATOR, FUTURE ENTITY, AFFILIATES, SUCCESSORS, LICENSORS, SERVICE PROVIDERS, AND AGENTS WILL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES ARISING FROM OR RELATING TO THE PLATFORM OR A USER-TO-USER TRANSACTION, INCLUDING LOST PROFITS, LOST DATA, LOST OPPORTUNITIES, OR LOSS OR DAMAGE TO CARDS IN TRANSIT.
TO THE MAXIMUM EXTENT PERMITTED BY LAW, THE TOTAL AGGREGATE LIABILITY ARISING OUT OF OR RELATING TO THE PLATFORM OR THESE TERMS WILL NOT EXCEED THE GREATER OF:
**(A) THE AMOUNT YOU PAID DIRECTLY TO THE BLOCK DURING THE SIX MONTHS PRECEDING THE EVENT GIVING RISE TO THE CLAIM; OR (B) $100 USD.**
Nothing in these Terms limits liability that cannot lawfully be limited or excluded.
ATTORNEY REVIEW ITEM: The liability structure and cap should be reviewed for the jurisdiction in which the business entity is established and for applicable consumer-protection laws.
30. Indemnification
To the maximum extent permitted by applicable law, you agree to defend, indemnify, and hold harmless The Block, its operator, future entity, affiliates, successors, officers, employees, contractors, and agents from claims, liabilities, damages, losses, and reasonable expenses arising from or relating to:
- your violation of these Terms;
- your unlawful conduct;
- content you submit;
- a card you list, sell, purchase, or trade;
- your transaction or dispute with another user;
- or your violation of another person's rights.
ATTORNEY REVIEW ITEM: Scope and enforceability of this provision should be reviewed by counsel.
31. Governing Law and Dispute Resolution

The final governing-law, venue, dispute-resolution, arbitration, and any class-action-waiver provisions should be selected after The Block's legal entity and jurisdiction of organization have been finalized.
The Block will not insert an arbitrary jurisdiction or arbitration provision before that review.
32. Changes to These Terms
The Block may update these Terms as the Platform changes.
Administrative or nonmaterial changes may become effective upon posting with an updated revision date.
For material changes affecting user rights or obligations, The Block may provide additional notice.
Depending on the nature of the change and applicable law, users may be required to affirmatively accept updated terms.
Changes involving matters such as recurring charges, new transaction fees, automatic payment authorization, dispute resolution, or materially different data practices may require additional disclosure or affirmative acceptance.
33. Assignment
To the extent permitted by applicable law, The Block may assign or transfer these Terms and associated rights and obligations to:
- a subsequently formed operating entity;
- an affiliate;
- a successor;
- a purchaser of substantially all relevant assets;
- or another entity involved in a merger, acquisition, financing, restructuring, or similar transaction.
Users may not assign their Platform account or rights under these Terms without authorization from The Block.
34. Electronic Communications and Acceptance
You consent to receive electronic communications relating to your account, transactions, legal agreements, and Platform operation.
Affirmatively checking the acceptance box during registration constitutes electronic acceptance of the identified versions of:
- these Terms;
- the Privacy Policy;
- and the Transaction & Trading Rules.
The Block may maintain records including the user identifier, accepted document versions, and acceptance timestamp.
35. Severability and No Waiver
If a provision of these Terms is determined to be unenforceable, the remaining provisions will remain in effect to the extent permitted by law.
Failure by The Block to enforce a provision on one occasion does not waive the right to enforce it later.
36. Entire Agreement
These Terms, together with the Privacy Policy, Transaction & Trading Rules, and any supplemental terms expressly applicable to a particular feature, constitute the applicable agreement between you and The Block concerning use of the Platform.
